Affiliate Program Terms of Service

1. Definitions

• "Company," "we," "us" refers to APUS DATA Mateusz Jerzyk.
• "Affiliate," "you," "Partner" refers to the party entering this Agreement, who must be an entrepreneur conducting their own registered business activity.
• "Affiliate Link" refers to the unique tracking URL provided to you through our affiliate platform, Tolt.io.
• "Qualified Purchase" refers to a purchase made by a new customer through your Affiliate Link that is not subsequently refunded, charged back, or identified as fraudulent.

2. Enrollment & Acceptance

To become an Affiliate, you must complete the application through our portal on Tolt.io. We will review your application and reserve the right, in our sole discretion, to accept or reject any application for any reason.

3. Affiliate Responsibilities

• Honest Promotion: You agree to promote our SaaS, APUS NEST, ethically. You must clearly and conspicuously disclose your affiliate relationship in all promotions (e.g., using #ad or stating "This is an affiliate link"). You may not make any false or misleading claims.
• Prohibited Activities: You are strictly prohibited from:
  • Bidding on our brand names ("APUS DATA," "APUS NEST"), trademarks, or any variations thereof in any pay-per-click (PPC) advertising campaigns.
  • Using your own Affiliate Link to make purchases for yourself, your business, or on behalf of others.
  • Engaging in spam or any other illegal or unethical marketing practices.
  • Placing Affiliate Links on any website or platform that contains illegal, defamatory, or offensive content.
• Link Usage: You are responsible for ensuring your Affiliate Link is used correctly. We will only pay commissions on sales that are automatically tracked by our system.

4. Commission, Invoicing, and Payment

• Commission & Tracking: Your commission rate is specified in your Tolt.io dashboard. Our system, managed through Tolt.io, will be the sole source for tracking and calculating all Qualified Purchases and commissions.
• Refunds: If a customer's purchase is refunded or charged back, the corresponding commission will be automatically deducted from your earnings.
• Payout Requirements: To receive payment, you must:
  1. Have an accrued commission balance of at least 1000 PLN.
  2. Submit a valid and complete invoice to invoices@apusnest.com. The invoice must state your legal business name and the commission amount, which must match the payable balance in your dashboard.
• Payment Terms: We will pay all valid and undisputed invoices within thirty (30) days of receipt (Net-30).

5. Relationship of the Parties

You and APUS DATA Mateusz Jerzyk are independent contractors. Nothing in this agreement creates any partnership, joint venture, employment, or agency relationship between us.

6. Term and Termination

Either party may terminate this agreement at any time by providing written notice. We reserve the right to terminate your account immediately for any breach of these terms, which will result in the forfeiture of any outstanding commissions. If the agreement is terminated without cause, we will pay any commissions that have met the payout requirements.

7. General

• Limitation of Liability: We will not be liable for any indirect or consequential damages. Our total liability under this agreement will not exceed the total commissions paid or payable to you in the six months prior to the event giving rise to the claim.
• Modification: We may modify these terms at any time by providing you with notice. Your continued participation in the Program after receiving notice constitutes your acceptance of the changes.
• Governing Law & Jurisdiction: This agreement shall be governed by the laws of the Republic of Poland. Any disputes arising from this agreement will be resolved by the competent court for the Company's registered office.
