Terms of Service

1. Definitions

• "Service": Refers to the AI-powered tools provided by APUS NEST, including Market Basket Analysis (MBA), Google Analytics integration and dashboard, report generation, our website (apusnest.com), and any related software or tools.
• "User" / "You": Refers to the individual or entity accessing or using the Service.
• "Report": Refers to the Market Basket Analysis (MBA) or RFM Customer Segmentation report generated by the Service based on User Data.
• "Free Report": An MBA Report generated via CSV upload with limited data visibility and a 72-hour lifespan.
• "Unlocked Report": An MBA Report generated via CSV upload where full data access has been purchased via a One-Time Payment, granting perpetual access to that specific report's data.
• "Analytics Dashboard": The interface displaying key metrics and insights derived from connected Google Analytics data. Access level (e.g., data history) may depend on Subscription status.
• "Subscription": Refers to a recurring payment plan (e.g., Architect Plan) granting ongoing access to specified premium features, such as unlimited report generation, advanced Analytics Dashboard features, and priority support, for the duration of the subscription term.
• "One-Time Payment": A single, non-recurring fee paid to unlock perpetual access to the full data of a specific Free Report.
• "User Data": Refers to E-commerce order data (e.g., via CSV upload) or data accessed via integrated third-party services like Google Analytics, provided by the User to the Service for analysis.

2. Description of Service

APUS NEST provides AI-powered analytics services for e-commerce businesses. This includes:

• Generating Market Basket Analysis (MBA) Reports from user-uploaded CSV data. Users receive a Free Report with limited visibility and may opt for a One-Time Payment to unlock full, perpetual access to that specific Report's data.
• An Analytics Dashboard that integrates with Google Analytics to display key e-commerce metrics and AI-driven insights. Basic access (7-day history) is free; extended features require a Subscription.
• Generating RFM Customer Segmentation reports (feature status subject to availability).
• A Subscription plan offering benefits like unlimited report generation, advanced analytics features, and priority support.

3. Account Usage, Eligibility, and Fair Use

• Eligibility: You must be at least 18 years old and capable of forming a binding contract to use the Service.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
• Prohibition on Sharing: Accounts are for individual or single-entity use only. Sharing account credentials with others is strictly prohibited.
• Fair Usage: Your use of the Service, particularly under a Subscription, is subject to our Fair Usage Policy outlined in Section 4 below.

4. Fair Usage Policy

• Intended Use: The Service, including features available under Subscription plans (like unlimited report generation), is intended for analyzing data related to your own e-commerce business(es) that you directly own or operate.
• Prohibited Use for Agencies/Consultants: Using a single account (including Subscription accounts) to generate reports or access analytics for multiple distinct clients, customers, or third-party businesses for commercial consulting or agency purposes is strictly prohibited under standard plans.
• Agency & Consultant Options: If you are an agency, consultant, or wish to use APUS NEST to service multiple clients, you must contact us at hello@apusnest.com to discuss a tailored Agency or Partnership offer. We may also recommend that each client maintains their own separate APUS NEST account.
• Monitoring and Enforcement: We reserve the right to monitor usage to ensure compliance with this policy. Excessive report generation, analysis of clearly unrelated datasets under a single account, or other patterns indicative of prohibited agency use may result in account review, feature limitations, or suspension/termination of your account without refund, at our sole discretion.
• Individual Business Exception: If you own and operate multiple distinct e-commerce stores yourself, using a single Subscription account to analyze data from these stores is generally permitted, provided usage remains reasonable and does not constitute providing a service to others. Contact us if you are unsure.

5. Payments, Subscriptions, and Refunds

• One-Time Payment (Report Unlock): You may pay a one-time fee to unlock perpetual access to the full data of a specific Free MBA Report. This fee applies per-report.
• Subscription Plans: We offer recurring Subscription plans (e.g., monthly, annually) for access to premium features as detailed on our Pricing page . Subscriptions automatically renew unless cancelled.
• Billing: Subscription fees are billed in advance for the upcoming period (monthly or annually) via our payment processor, Stripe. You authorize us to charge your designated payment method.
• Cancellation: You can cancel your Subscription at any time through your billing settings or by contacting support. Cancellations take effect at the end of the current billing period. You will retain access to Subscription features until then. No pro-rata refunds are provided for cancellations made mid-period.
• Effect of Cancellation/Expiration: Upon cancellation or expiration of a Subscription, your access to premium features (e.g., unlimited report generation, extended GA history) will cease. Reports generated *during* an active subscription remain accessible according to the standard report availability terms (see below), but their access level reverts, potentially limiting features like AI chat for those reports. Access to the basic free tier of services (e.g., Free Reports via CSV, basic GA dashboard) remains.
• Payment Processing: Payments are processed via Stripe. We do not store sensitive payment card details .
• Report Availability (General): Unlocked Reports (via One-Time Payment) are accessible perpetually. Free Reports expire after 72 hours. Reports generated under a Subscription remain accessible after the subscription ends, but premium features tied to the subscription (like AI chat within those reports) may become unavailable.
• Refund Policy:
  • One-Time Payments: Non-refundable, as value is delivered instantly, except for verifiable technical failures preventing access.
  • Subscriptions: Generally non-refundable. No refunds or credits are provided for partial subscription periods or unused time. Exceptions may be considered solely at our discretion in cases of significant, verifiable service unavailability not caused by the User.

6. User Data and Privacy

Our collection, use, and protection of your personal data and User Data are governed by our Privacy Policy. You retain ownership of your User Data. You may request data deletion by contacting hello@apusnest.com.

7. User Responsibilities and Conduct

You agree to use the Service only for lawful purposes and in accordance with the Fair Usage Policy. You represent that you have all necessary rights to the User Data you provide or connect. You agree not to misuse the service (e.g., uploading malware, unauthorized access, reverse-engineering).

8. Intellectual Property Rights

APUS NEST retains all rights to the Service itself. You retain ownership of your User Data. A One-Time Payment grants a perpetual license for the specific Unlocked Report. An active Subscription grants a non-exclusive, non-transferable license to access and use the subscribed features for its duration.

9. AI Content Disclaimer

Reports and insights generated using AI are for informational purposes. While we aim for accuracy, errors may occur. You are responsible for validating information before making business decisions based on it.

10. Term and Termination

These Terms are effective until terminated. You may terminate by ceasing Service use and cancelling any active Subscription. We may suspend or terminate your access for violating these Terms (including the Fair Usage Policy) without notice or refund. Termination does not relieve you of obligations to pay accrued fees.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT UNINTERRUPTED, SECURE, OR ERROR-FREE SERVICE OR ACCURATE REPORTS/INSIGHTS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY POLISH LAW, APUS NEST IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS/REVENUES. OUR TOTAL LIABILITY IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED (100) POLISH ZLOTY (PLN).

13. Indemnification

You agree to indemnify and hold harmless APUS NEST from claims arising from your use of the Service or violation of these Terms.

14. Updates to Terms

We may modify these Terms. We will update the "Last Updated" date. Continued use after changes signifies acceptance.

15. Governing Law and Dispute Resolution

Governed by the laws of Poland. Disputes resolved in the competent courts of Wrocław, Poland.

16. Miscellaneous

These Terms are the entire agreement. If any part is invalid, the rest remains effective.
